Does Patron handle ESOP scheme design and valuation for Gurugram startups?

Yes. We design Section 62(1)(b) ESOP schemes and run Rule 11UA fair-market-value valuations for startups across Gurugram, from the DLF Cyber City and Udyog Vihar SaaS and ITES belt to the Golf Course Road startup cluster and the Sohna Road tech corridor where our local office sits. Work is delivered by the same CA and CS team that runs our national engagements. Tap any service tile above to reach the page with its scope and pricing.

Which Registrar of Companies handles ESOP filings for Gurugram companies?

Companies registered in Gurugram fall under RoC Delhi (which covers Haryana) on the MCA21 portal, not a Haryana-based registry. ESOP filings are made against that jurisdiction: MGT-14 within 30 days of the special resolution and PAS-3 within 30 days of share allotment. Our ESOP Corporate Filings page sets out the full MCA21 filing calendar and the penalties for delay.

Do you work with SaaS and ITES companies in Cyber City and Udyog Vihar?

Yes. Gurugram's enterprise-SaaS and ITES clusters in DLF Cyber City and Udyog Vihar, alongside the B2B founders on Golf Course Road, are a core part of our ESOP practice. These companies usually need scheme design at seed or Series A, Rule 11UA valuation each exercise window, and perquisite-tax handling at exercise. The By Industry section above routes tech and SaaS companies to the right page.

How is ESOP perquisite tax handled for Gurugram employees?

ESOP perquisite is taxed at exercise under Section 17(2)(vi) as salary, computed as fair market value on exercise minus the exercise price, times the number of shares. The employer deducts TDS under Section 192 and reports it in Form 24Q and Form 12BA. The Tax and TDS section above covers perquisite computation, employer TDS and ITR reporting individually.

Can a DPIIT-recognised Gurugram startup defer ESOP TDS?

Yes. A DPIIT-recognised startup that is unlisted at grant can defer ESOP TDS under Section 192(1C) to the earliest of 48 months from allotment, the share sale, or the employee leaving. Many eligible startups sit along the Sohna Road tech corridor and the Golf Course Road cluster. The Section 192(1C) deferral tile above lays out the full eligibility conditions and the deferral mechanics.

Is the ESOP work delivered on-site in Gurugram or remotely?

Engagements run remotely with scheduled video reviews, which is how we serve Gurugram clients efficiently across Cyber City, Udyog Vihar, Golf Course Road and the Sohna Road corridor. Documents are exchanged securely and MCA21 filings are made online against your RoC Delhi jurisdiction. When an in-person session helps, such as a board or compensation-committee meeting, our Sohna Road office hosts it.

What does an ESOP engagement cost for a Gurugram company?

ESOP retainers start from INR 7,499/yr, full scheme design from INR 49,999, and Rule 11UA FMV valuation from INR 24,999 per report. Final fees depend on grant volume, scheme complexity, listed versus unlisted status and any cross-border or FEMA overlay. Pricing is confirmed after a free consultation and all fees are exclusive of GST.

Where do SEBI SBEB and listed-company ESOP rules apply for Gurugram firms?

Listed Gurugram companies follow SEBI SBEB Regulations 2021, including the Regulation 9A insider-trading window and related-party disclosure. Pre-IPO companies in Gurugram use the same section for SBEB-readiness scoping. The By Industry and Listed section above routes listed and pre-IPO companies to the relevant SEBI compliance pages.
