What Is Form 10BB and When Does It Apply?

    Quick Answers

    What is Form 10BB?
Form 10BB is the audit report that a chartered accountant furnishes for a charitable or religious trust or institution registered under section 12AB or approved under section 10(23C), covering smaller entities that fall below the Form 10B threshold. It was re-notified under Rule 16CC and Rule 17B with effect from 1 April 2023 for AY 2023-24 onwards.
Who files Form 10BB versus Form 10B?
From AY 2023-24, both forms are common to 12AB and 10(23C) entities. Form 10B applies where total income (before exemption) exceeds Rs 5 crore, or the entity received any foreign contribution, or applied income outside India. If none of those apply, the entity files the shorter Form 10BB.
What is the Rs 5 crore threshold for Form 10BB?
Total income of the trust or institution is computed without giving effect to sections 11 and 12 or to sub-clauses (iv), (v), (vi) and (via) of section 10(23C). If that figure is Rs 5 crore or less, and there is no foreign contribution and no income applied outside India, Form 10BB is the correct audit report.
What is the due date for Form 10BB?
Form 10BB must be filed by the specified date referred to in section 44AB, that is one month before the due date for filing the return under section 139(1). For an institution, this is generally 30 September of the assessment year, with the ITR then due by 31 October.

Form 10BB is one of two common audit reports that charitable and religious organisations use to preserve their income-tax exemption. Since the forms were re-notified under Rule 16CC and Rule 17B of the Income-tax Rules 1962 with effect from 1 April 2023, the same pair of forms applies to entities registered under section 12AB and to those approved under section 10(23C). Form 10BB is the shorter report for smaller entities; Form 10B is the larger report reserved for entities that cross the Rs 5 crore threshold or that receive foreign contribution or apply income outside India.

Overview - Form 10BB Audit Report at a Glance

    📌 TL;DR - Form 10BB in Brief

Form 10BB is the CA audit report under section 10(23C) of the Income-tax Act 1961 for any fund, trust, institution, university or other educational institution, or any hospital or other medical institution referred to in sub-clause (iv), (v), (vi) or (via) of section 10(23C) - and, from AY 2023-24, also for section 12AB entities. It is filed only when all three conditions are met: total income before exemption is up to Rs 5 crore, no foreign contribution was received, and no income was applied outside India. If any one condition is crossed, the entity files Form 10B instead. The report is uploaded by the CA and accepted by the taxpayer with an active DSC or EVC, before the specified date under section 44AB (generally 30 September of the assessment year).

The full title of Form No. 10BB is the audit report under section 10(23C) of the Income-tax Act 1961 in the case of any fund, trust, institution, university or other educational institution, or any hospital or other medical institution referred to in sub-clause (iv), (v), (vi) or (via) of section 10(23C). Getting the choice between Form 10B and Form 10BB right matters: filing the incorrect form can be treated as a defective or invalid audit report and can jeopardise the exemption under sections 11 and 12 or under section 10(23C).

Patron Accounting LLP helps trusts, funds, educational institutions and medical institutions determine applicability correctly, complete the chartered accountant audit, and file Form 10BB before the specified date. Verify the framework directly on the Income Tax India e-Filing Portal and refer to auditing standards at the Institute of Chartered Accountants of India.

Form 10BB Under Section 10(23C) Explained

Form 10BB is the audit report that accompanies the return of income of an exempt charitable or religious organisation. It reports how the entity has applied and accumulated its income, and confirms compliance with the conditions attached to its exemption. Since AY 2023-24, the auditee universe for Form 10BB includes any fund, institution, trust, university or other educational institution, or any hospital or other medical institution referred to in section 10(23C) or in sections 11 and 12.

The dividing line between the two common forms is the Rs 5 crore threshold, computed on a specific basis. The total income of the auditee is worked out without giving effect to sections 11 and 12 and without giving effect to sub-clauses (iv), (v), (vi) and (via) of section 10(23C). In other words, the exemption itself is ignored when measuring size. If that figure is Rs 5 crore or less, and the two additional conditions are also satisfied, the entity is in Form 10BB territory.

Form 10BB is filed only when all three conditions are met at once - (1) total income before exemption is up to Rs 5 crore, (2) no foreign contribution was received during the previous year, and (3) no part of income was applied outside India during the previous year. If any single condition fails, the larger Form 10B applies instead, regardless of the other two.

The audit under Form 10BB must be carried out by a chartered accountant. The CA uploads the report, and the taxpayer then accepts and verifies it using an active DSC or EVC registered on the e-filing portal. This two-step acceptance is a common point of failure, so it is worth confirming that the trustees or authorised signatory have a valid DSC or EVC well ahead of the due date.

    Key Terms for Form 10BB:

    • Section 10(23C): Exemption for specified funds, institutions, universities, educational institutions, hospitals and other medical institutions. Sub-clauses (iiiad) and (iiiae) cover smaller educational and medical institutions with aggregate annual receipts up to Rs 5 crore without prior approval; sub-clauses (vi) and (via) cover larger approval-based institutions.
    • Section 12A / 12AB: Registration route for charitable and religious trusts and institutions. From AY 2023-24 the same audit forms (Form 10B and Form 10BB) apply to 12AB and 10(23C) entities alike.
    • Rule 16CC and Rule 17B: The Income-tax Rules provisions, substituted with effect from 1 April 2023, that prescribe Form 10B and Form 10BB as the audit report forms.
    • Rs 5 crore threshold: Total income computed before giving effect to sections 11, 12 and the specified sub-clauses of section 10(23C). At or below Rs 5 crore (with the other two conditions met), Form 10BB applies.
    • Specified date (section 44AB): One month before the due date for filing the return under section 139(1), generally 30 September of the assessment year.
    • Foreign contribution (FCRA): Receipt of any foreign contribution during the previous year moves the entity to Form 10B, irrespective of income size.

Who Is Required to File Form 10BB?

Form 10BB applies to a broad range of exempt organisations, provided they meet all three conditions (income up to Rs 5 crore before exemption, no foreign contribution, no income applied outside India). The auditee categories include:

    • Universities and educational institutions approved under section 10(23C)(vi): A university or educational institution approved under sub-clause (vi) must have its accounts audited by a chartered accountant. Where the three conditions are met, the audit report is furnished in Form 10BB; otherwise Form 10B applies.
    • Hospitals and other medical institutions approved under section 10(23C)(via): A hospital or other medical institution approved under sub-clause (via) obtains a CA audit and files Form 10BB when total income before exemption is Rs 5 crore or less with no foreign contribution and no income applied outside India.
    • Smaller educational institutions under section 10(23C)(iiiad): Educational institutions with aggregate annual receipts up to Rs 5 crore are exempt without prior approval. Where an audit obligation is triggered, the report is furnished in Form 10BB.
    • Smaller medical institutions under section 10(23C)(iiiae): Medical institutions and hospitals with aggregate annual receipts up to Rs 5 crore are covered without prior approval, filing Form 10BB where audit applies.
    • Charitable and religious trusts registered under section 12A / 12AB: Since AY 2023-24 the common forms apply to 12AB entities too. A 12A/12AB trust with total income before exemption up to Rs 5 crore, no foreign contribution and no income applied outside India files Form 10BB rather than Form 10B.
    • Funds and institutions referred to in sections 11 and 12: Any fund, institution or trust referred to in section 10(23C) or in sections 11 and 12 falls within the Form 10BB auditee universe when the conditions are met.

When Form 10BB does NOT apply: If total income before exemption exceeds Rs 5 crore, or if the entity received any foreign contribution during the previous year, or if any part of income was applied outside India during the previous year, then Form 10B is mandatory instead - even for an otherwise small institution. Larger educational and medical institutions must obtain approval under sub-clause (vi) or (via) and audit accordingly.

You can confirm the applicable framework on the Income Tax India e-Filing Portal. For trusts still completing their exemption registration, our 12A registration service establishes the base registration, and our section 11-12-13 income application and accumulation page explains how exempt income must be applied.

Form 10B vs Form 10BB - Which Applies?

From AY 2023-24 both forms are common to 12AB and 10(23C) entities. The choice turns entirely on three tests. The table summarises how each factor decides the form.

    FactorForm 10BB (shorter report)Form 10B (larger report)
Total income before exemption Rs 5 crore or less (computed without sections 11, 12 and specified 10(23C) sub-clauses) Exceeds Rs 5 crore
Foreign contribution during the year None received Any foreign contribution received (Form 10B applies irrespective of income)
Income applied outside India No income applied outside India Any income applied outside India (Form 10B applies irrespective of income)
Condition logic All three conditions must be satisfied together Any one condition crossed triggers Form 10B
Applicable entities 12AB and 10(23C) funds, trusts, educational and medical institutions meeting the conditions Same entity universe, once any threshold is crossed
    Auditor Chartered accountant Chartered accountant
Specified date One month before the section 139(1) due date (generally 30 September) One month before the section 139(1) due date (generally 30 September)

Worked example: A charitable trust has total income of Rs 3.2 crore before exemption, received no foreign contribution, and applied all its income within India. All three conditions are met, so the audit report is Form 10BB. If the same trust had received even a small foreign donation during the year, it would move to Form 10B despite being well under Rs 5 crore.

For entities that fall on the Form 10B side of the line, see our companion page on the Form 10B audit report for a section 12A trust. If you are unsure which form applies in a borderline year, a CA review of income, foreign contribution and outbound application is advisable each year.

Due Date and Timeline for Form 10BB

Per the incometax.gov.in Form 10BB FAQ, Form 10BB must be filed before the specified date referred to in section 44AB - that is, one month before the due date for filing the return of income under section 139(1). For an institution this is generally 30 September of the assessment year, with the ITR then due by 31 October.

    StageIndicative Timing
Applicability assessment (10B vs 10BB) On engagement - income, foreign contribution and outbound-application review
Audit fieldwork and finalisation After books are closed; earlier is safer to avoid the September rush
CA uploads Form 10BB On or before the specified date under section 44AB
Specified date for Form 10BB Generally 30 September of the assessment year (one month before the section 139(1) date)
Taxpayer acceptance via DSC / EVC Before the specified date - must not be left to the last day
Return of income (ITR) Generally by 31 October of the assessment year

If you miss the specified date: Delay beyond the due date may require a condonation application to the CBDT or the prescribed authority. For AY 2023-24, CBDT allowed trusts and institutions to furnish the audit report in the correct Form No. 10B or Form No. 10BB on or before 31 March 2024, providing relief where the wrong form had originally been filed - but relying on such relief is not a substitute for filing correctly and on time.

My educational institution is approved under section 10(23C)(vi). Which audit form applies?

A university or educational institution approved under section 10(23C)(vi) must have its accounts audited by a chartered accountant. If its total income before exemption is up to Rs 5 crore and it has no foreign contribution or income applied outside India, the audit report is filed in Form 10BB. If any of those thresholds is crossed, Form 10B applies instead.

We run a hospital approved under section 10(23C)(via). Do we file Form 10BB?

Yes. A hospital or other medical institution approved under section 10(23C)(via) is required to obtain a CA audit and furnish the report in Form 10BB when its total income (before exemption) is Rs 5 crore or less and it has no foreign contribution or income applied outside India. Above that, or with foreign contribution, it moves to Form 10B.

A small trust registered only under section 12A also has to file Form 10BB now?

Yes. Since AY 2023-24, the common forms apply to 12AB and 10(23C) entities alike. A 12A/12AB trust whose total income before exemption is up to Rs 5 crore, with no foreign contribution and no income applied outside India, files Form 10BB rather than the larger Form 10B.

We received a foreign donation this year but our income is under Rs 5 crore. Can we still use Form 10BB?

No. Receipt of any foreign contribution during the previous year moves the entity to Form 10B regardless of income size. The same is true if any part of income was applied outside India. Form 10BB is only for entities that clear all three conditions.

What happens if we file the wrong form, 10B instead of 10BB or vice versa?

Filing the incorrect form can be treated as a defective or invalid audit report and may jeopardise the exemption. CBDT has in the past allowed re-furnishing the correct form for AY 2023-24; the safe course is to determine applicability correctly before the specified date. A CA review of income, foreign contribution and outbound application is advisable each year.

Does an educational institution with receipts under Rs 5 crore under section 10(23C)(iiiad) need Form 10BB?

Sub-clauses (iiiad) and (iiiae) grant exemption to educational and medical institutions with aggregate annual receipts up to Rs 5 crore without prior approval. Where an audit obligation is triggered, the report is furnished in Form 10BB. Larger institutions must obtain approval under (vi) or (via) and audit accordingly.

Can the audit report in Form 10BB be revised after filing?

The audit report is uploaded by the CA and must be accepted and verified by the taxpayer using an active DSC or EVC. If an error is found, the practice is to furnish a revised report before the specified date. Delay beyond the due date may require a condonation application to the CBDT or the prescribed authority.
