What Is Form 10B and When Does a Section 12A Trust Need It?

Form 10B is the audit report that a trust or institution registered under Section 12A/12AB (or approved under Section 10(23C)) must obtain from a Chartered Accountant and file electronically to claim income tax exemption under Sections 11 and 12. It is prescribed under Section 12A(1)(b) of the Income Tax Act, 1961, and is filed through the income tax e-filing portal ahead of the ITR-7 return.

Since 1 April 2023 (Assessment Year 2023-24), the audit report has been split into two forms based on the level of income and activity, not the type of registration. Whether your trust files Form 10B or the simpler Form 10BB depends on three triggers - your total income before exemption, whether you received foreign contribution, and whether you applied any income outside India.

    ⚡ Quick Answers

    • What is Form 10B? Form 10B is the audit report that a trust or institution registered under Section 12A/12AB (or approved under Section 10(23C)) must obtain from a Chartered Accountant and file electronically to claim income tax exemption under Sections 11 and 12.
    • When does Form 10B apply instead of Form 10BB? Form 10B applies if the trust's total income before exemption exceeds Rs 5 crore in the previous year, or it has received any foreign contribution, or it has applied any part of its income outside India. All other eligible trusts file Form 10BB.
    • When did the Form 10B / 10BB bifurcation start? The revised income-based forms took effect from 1 April 2023 (Assessment Year 2023-24) under CBDT Notification No. 7/2023, which amended Rules 16CC and 17B via the Income-tax (Third Amendment) Rules, 2023.
    • What is the due date for Form 10B? The audit report in Form 10B must be furnished at least one month before the due date for filing the ITR-7 return, generally by 30 September of the assessment year.

    Key Terms for Form 10B:

    • Form 10B: Income tax audit report for Section 12A/12AB trusts and Section 10(23C) institutions that cross the Rs 5 crore threshold, receive foreign contribution, or apply income outside India.
    • Form 10BB: The simpler audit report filed by eligible trusts and institutions that do not fall within any of the three Form 10B triggers.
    • Section 12A / 12AB: The registration route through which a charitable or religious trust becomes eligible for exemption under Sections 11 and 12.
    • Rule 16CC and Rule 17B: Income-tax Rules amended by CBDT Notification No. 7/2023 to prescribe the revised Forms 10BB and 10B respectively.
    • ITR-7: The income tax return filed by trusts and institutions claiming exemption; the Form 10B audit report supports it.
    • Section 119(2)(b): The provision under which the Commissioner (Exemptions) or CBDT can condone a delay in filing the audit report for genuine reasons.

Overview - Form 10B Audit Report Filing

    📌 TL;DR - Form 10B for Section 12A Trusts at a Glance

Trusts, NGOs and institutions registered under Section 12A/12AB must have their accounts audited and file an audit report to keep their exemption under Sections 11 and 12. Since AY 2023-24, the report is either Form 10B or Form 10BB. You file Form 10B if your total income before exemption exceeds Rs 5 crore, or you received any foreign contribution, or you applied any income outside India; otherwise you file Form 10BB. The report must be certified by a Chartered Accountant and furnished at least one month before the ITR-7 due date, generally by 30 September. Missing the deadline can cost you the exemption, though a genuine delay can be condoned under Section 119(2)(b). Patron's CA team confirms the correct form, audits your books, and files it on time.

Charitable and religious trusts claiming exemption under Sections 11 and 12 of the Income Tax Act, 1961 are required to have their accounts audited where their total income - computed before applying those exemptions - exceeds the basic exemption limit. The audit report is the document that lets the income tax department verify that the trust has applied its income to its charitable objects and complied with Sections 11, 12 and 13. Without a valid, timely audit report, the exemption itself is at risk.

CBDT vide Notification No. 7/2023 (GSR 118(E)) dated 21 February 2023, through the Income-tax (Third Amendment) Rules, 2023, amended Rule 16CC and Rule 17B and revised Forms 10B and 10BB with effect from 1 April 2023. The amendment shifted the basis of applicability from the type of registration to the level of total income, creating a clear bifurcation - larger trusts and those with foreign contribution or overseas application of income file the more detailed Form 10B, while all other eligible trusts file Form 10BB.

Patron's Chartered Accountants reconcile your books, compute income under Sections 11 to 13, confirm whether Form 10B or Form 10BB applies, prepare and certify the report, and file it on the portal ahead of your ITR-7 due date so your exemption is protected. Verify statutory details through the Income Tax India e-Filing Portal, CBDT notifications on the Income Tax Department site, and auditing standards at the Institute of Chartered Accountants of India.

Who Needs to File Form 10B?

An audit report is mandatory for any Section 12A/12AB trust or institution whose total income - computed before applying the exemptions of Sections 11 and 12 - exceeds the basic exemption limit. Among those trusts, Form 10B (rather than Form 10BB) is required in any of the following situations:

    • Total income above Rs 5 crore: If the total income of the trust or institution, computed without giving effect to Sections 11 and 12 (or the relevant clauses of Section 10(23C)), exceeds Rs 5 crore during the previous year, Form 10B is mandatory.
    • Foreign contribution received: If the trust or institution received any foreign contribution during the previous year, Form 10B is mandatory irrespective of income level. This aligns your income tax reporting with your FCRA compliance obligations.
    • Income applied outside India: If the trust or institution applied any part of its income outside India during the previous year, Form 10B is mandatory irrespective of income level.
    • Section 10(23C) approved institutions: Universities, educational institutions, hospitals and other institutions approved under Section 10(23C) that cross the same thresholds also fall within the Form 10B requirement.
    • Large charitable and religious trusts: Public charitable trusts, religious trusts and societies registered under Section 12A/12AB with substantial receipts or grants.
    • NGOs with cross-border activity: Non-profit organisations engaged in overseas relief, research collaborations or grants that involve applying income outside India.

Any eligible trust or institution that does not fall within these three Form 10B triggers files its audit report in the simpler Form 10BB instead. If you are unsure which applies, Patron's CA team reviews your accounts and activity profile and confirms the correct form before filing.

Common Form 10B Mistakes Patron Helps You Avoid

    ChallengeImpactHow Patron Accounting Solves It
Filing the Wrong Form (10B instead of 10BB, or vice versa) Choosing the wrong audit report can render the filing defective and may put the exemption under Sections 11 and 12 in question. Patron runs a structured applicability check against the Rs 5 crore threshold, foreign contribution and overseas application of income, and confirms the correct form before any filing.
Missing the One-Month-Before-ITR Deadline Furnishing Form 10B after the due date can result in denial of exemption, exposing the trust's surplus to tax. Patron schedules the audit report at least one month before the ITR-7 due date, generally 30 September, and tracks the timeline so the statutory gap is preserved.
Overlooking Foreign Contribution as a Trigger Trusts that received foreign contribution sometimes file Form 10BB by mistake, creating a mismatch with FCRA reporting. Patron reviews FCRA records alongside the accounts so that any foreign contribution correctly routes the trust into Form 10B, aligned with its FCRA obligations.
Weak Documentation of Income Application Inadequate records of how income was applied to charitable objects can lead to queries and disputes on the exemption. Patron reconciles application of income under Sections 11 and 12, documents the 85 percent test, and supports accumulation disclosures where income is set apart.
No Plan for a Genuine Delay When the report is obtained before filing the return but filed late, trusts often do not pursue the available relief. Patron assists with a condonation application under Section 119(2)(b), relying on the settled position that a delayed audit report is a procedural lapse and not, by itself, a ground to deny exemption.

Applicability Assessment 1-3 days - confirm Form 10B vs Form 10BB and share the document checklist
Books Reconciliation and Audit Depends on the size of the trust and readiness of records; typically completed well before the statutory deadline
Form 10B Furnishing Due Date At least one month before the ITR-7 due date - generally by 30 September of the assessment year
ITR-7 Return Due Date Generally 31 October of the assessment year, one month after the Form 10B deadline
AY 2023-24 Extended Dates (First Year of New Forms) CBDT extended the Form 10B/10BB date to 31 October 2023 and the ITR-7 date to 30 November 2023, preserving the one-month gap

Why the one-month gap matters: The law requires the audit report in Form 10B to be furnished at least one month before the ITR-7 return so that the return can be filed on the strength of a completed audit. For AY 2023-24, the first year of the revised forms, CBDT extended both dates while keeping the one-month gap intact - a reminder that timely audit is the anchor of the trust's exemption. Where a delay is genuine and the report was obtained before the return was filed, the delay can be condoned under Section 119(2)(b) by the Commissioner (Exemptions) or CBDT.

All fees and charges listed are indicative only and do not constitute a binding offer. Final amounts may vary depending on the size of the trust, volume of transactions, foreign contribution reporting, and complexity of the accounts.

Is Form 10B mandatory for my Section 12A trust?

Yes, an audit report is mandatory for any Section 12A/12AB trust or institution whose total income (computed before applying the exemptions of Sections 11 and 12) exceeds the basic exemption limit. The report is filed either in Form 10B or Form 10BB depending on your income and activity profile.

How do I know whether to file Form 10B or Form 10BB?

File Form 10B if any one of these applies: your total income before exemption exceeds Rs 5 crore, you received foreign contribution during the year, or you applied any income outside India. If none apply, you file the simpler Form 10BB. Patron's CA team assesses your accounts and confirms the correct form for you.

Who can prepare and certify Form 10B?

Only a practising Chartered Accountant can audit the accounts and certify Form 10B. The trust assigns the form to the CA on the income tax e-filing portal, the CA verifies and uploads it, and the trust then accepts it electronically.

What happens if Form 10B is not filed or is filed late?

If the required audit report is not filed by the due date, the trust risks losing its exemption under Sections 11 and 12, meaning its surplus can be taxed. Courts and CBDT have in many cases treated delay as a procedural lapse and allowed condonation, but timely filing is essential to avoid dispute and demand.

Can a delay in filing Form 10B be condoned?

Yes. Where the audit report was obtained before filing the return and the delay was for a genuine reason, the Commissioner (Exemptions) or CBDT can condone the delay under Section 119(2)(b). Several tribunals and High Courts have held that exemption cannot be denied merely for a delayed audit report.

Does receiving foreign contribution force me into Form 10B?

Yes. If your trust received any foreign contribution during the previous year, Form 10B is mandatory regardless of your income level. This aligns income tax reporting with your FCRA compliance obligations.

How does Patron help with the Form 10B audit report?

Patron's Chartered Accountants reconcile your books, compute income under Sections 11 to 13, confirm whether Form 10B or 10BB applies, prepare and certify the report, and file it on the portal ahead of your ITR-7 due date so your exemption is protected.
