What Is Trustee Appointment, Retirement and Replacement?

      📌 Quick Answers

      • How is a new trustee appointed to a charitable trust? A new trustee is appointed following the powers set out in the trust deed. Where the deed is silent, Section 73 of the Indian Trusts Act, 1882 allows appointment by the nominated person, the author of the trust, or the surviving/continuing trustees, and every appointment must be made in writing under the hand of the person making it.
      • Do you need a supplementary trust deed to change trustees? If the original trust deed provides a mechanism for succession, a written deed of appointment or a registered supplementary trust deed is executed to record the change. Trustees cannot amend the deed itself unless the deed grants that power, in which case a supplementary deed is prepared and, ideally, registered.
      • What must be filed with the Charity Commissioner when a trustee changes? In states under the Maharashtra/Bombay Public Trusts Act, 1950, a change report must be filed with the Deputy or Assistant Charity Commissioner under Section 22 within 90 days of the change occurring, in the prescribed form, so the entry in the public trust register is updated.
      • Does a trustee change trigger FCRA and Income Tax filings? Yes. FCRA-registered organisations must intimate changes in key members through Form FC-6E on the FCRA portal, and the trust should keep its 12A/80G records, PAN, and bank mandate updated so that governance details on the Income Tax portal remain accurate.

Overview: Trustee appointment and replacement is the legal process of changing the individuals who govern an Indian non-profit - the trustees of a charitable trust, the governing-body members of a society, or the directors of a Section 8 company. A change may arise on death, resignation, retirement, removal, or the need to add fresh trustees. Because the governance details of an NGO are recorded across several statutory registers, a single change of trustee can require a deed of appointment or supplementary trust deed, a Charity Commissioner change report, a Registrar of Societies intimation or Form DIR-12 filing, an FCRA Form FC-6E update, and refreshed records on the Income Tax portal for 12A/12AB and 80G.

The exact route depends on the entity type and, for trusts, on the state Public Trusts Act that applies. This page explains how each change is made, who has the power to make it, the documents and timelines involved, and the downstream filings that keep an organisation's 12A registration, 80G registration, and FCRA registration records accurate. Patron's CA and CS team handles the entire change end-to-end so that trustee succession does not disrupt tax exemption or foreign-contribution eligibility. Content is reviewed periodically for accuracy against the governing statutes.

The Legal Basis for Appointing and Replacing Trustees

The power to appoint, retire or replace a trustee comes first from the trust instrument, and then from statute where the deed is silent. Understanding both is essential before any change is documented or filed.

Appointment under the Indian Trusts Act, 1882: Under Section 73, when a person appointed trustee disclaims, or a trustee dies, is absent from India for a continuous six months, leaves India to reside abroad, is declared insolvent, desires discharge, or becomes unfit or incapable, a new trustee may be appointed by the person nominated in the trust instrument; failing whom by the author of the trust (if alive and competent), the surviving or continuing trustees, or the legal representative of the last surviving trustee. Section 73 requires that every appointment of a new trustee be made in writing under the hand of the person making the appointment.

Appointment by the court: Section 74 allows a beneficiary to apply by petition, without instituting a suit, to a principal Civil Court of original jurisdiction for appointment of a new trustee when appointment under Section 73 is impracticable. This is the route where the deed provides no workable mechanism and the trustees cannot agree.

Vesting of trust property: Under Section 75, on appointment of a new trustee under Section 73 or 74, the trust property automatically vests in the new trustee, solely or jointly with the continuing trustees. This is why a properly documented appointment matters - it is the foundation on which banks, the Charity Commissioner and the Income Tax Department recognise who controls the trust's assets.

Amending the deed: Trustees do not inherently have power to amend the trust deed. A supplementary or amendment deed can be executed only where the original deed confers that power. If the original deed was registered, an amendment or supplementary deed is used to record changes such as a trustee replacement, and it should ordinarily itself be registered.

Charity Commissioner change report: In states governed by the Maharashtra (Bombay) Public Trusts Act, 1950, Section 22 requires the trustee to report any change in the register entries - including trustees - to the Deputy or Assistant Charity Commissioner within 90 days of its occurrence, in the prescribed form. A 2017 amendment added a proviso to Section 22(1) allowing the Deputy or Assistant Charity Commissioner to extend the 90-day change-report period on sufficient cause, subject to payment of costs to the Public Trust Administration Fund. For changes in trustee or manager names and addresses, or the mode of succession, the officer may pass a provisional order accepting the change within about 15 working days and issue a notice inviting objections within 30 days before finalising the register entry.

      Key Terms for Trustee Change:

      • Deed of Appointment / Supplementary Trust Deed: A written instrument recording the appointment, retirement or replacement of a trustee. Registered with the Sub-Registrar where the original trust deed was registered.
      • Change Report (Section 22): The prescribed filing to the Deputy or Assistant Charity Commissioner under the Maharashtra/Bombay Public Trusts Act, 1950, within 90 days of a change to the public trust register.
      • Form DIR-12: The Registrar of Companies filing for appointment, resignation, removal or change of designation of a director of a Section 8 company, under Sections 168 and 170 of the Companies Act, 2013.
      • Governing Body List (Section 4): The annual list of a society's governing body filed with the Registrar under the Societies Registration Act, 1860; many states also require intimation of in-year changes.
      • Form FC-6E: The FCRA online intimation for changes in key members or office bearers of an FCRA-registered association.
      • Form 10A / Form 10AB: The Income Tax forms that capture trustee and governing-body details (with PAN and KYC) for 12A/12AB and 80G registration and five-yearly renewal.

Who Needs to Change or Replace a Trustee

Trustee and governing-body changes arise across every kind of Indian non-profit. The right process depends on the entity type and the state law that governs it.

      • Public charitable trusts: Trusts registered under a state Public Trusts Act (for example the Maharashtra/Bombay Public Trusts Act, 1950) that need to add, retire or replace a trustee and file a Section 22 change report with the Charity Commissioner. See our public charitable trust registration service.
      • Private and family trusts: Family or private trusts governed by the Indian Trusts Act, 1882 where succession of trustees is handled through a deed of appointment or supplementary deed. See private family trust registration.
      • Societies: Societies registered under the Societies Registration Act, 1860 that must file an annual governing-body list and, in many states, intimate in-year changes to the Registrar of Societies.
      • Section 8 companies: Not-for-profit companies under the Companies Act, 2013 that must file Form DIR-12 for any director appointment, resignation, removal or change of designation. See Section 8 company registration.
      • FCRA-registered organisations: Any of the above holding FCRA registration must intimate changes in key members through Form FC-6E promptly so foreign-contribution eligibility is preserved.
      • 12A/80G-registered NGOs: Organisations enjoying income-tax exemption under 12A/12AB and donor deduction under 80G must keep trustee, PAN and signatory details current on the Income Tax portal and reflect the latest governance at renewal in Form 10AB.
      • Trusts facing an involuntary change: Where a trustee has died, become insolvent, been absent from India for a continuous six months, or become unfit or incapable, and the deed provides no workable route - here the court appointment mechanism under Section 74 may be needed.

Ongoing governance: Trustee change is rarely a one-off event. Keeping deeds, registers and portals aligned is part of good NGO governance, which is why many organisations pair a trustee change with a broader corporate compliance for NGO review.

How a Trustee Change Is Done, Step by Step

A structured workflow from checking the trust deed's succession powers through documenting the change, registering the supplementary deed, filing the statutory change report or form, and updating FCRA and Income Tax records.

      Step 1

Review the Deed and Confirm Powers

We read the existing trust deed, society rules or Section 8 company articles to confirm who has the power to appoint, retire or replace a trustee, and whether the deed permits amendment. Where the deed is silent, Section 73 of the Indian Trusts Act, 1882 supplies the default mechanism.

      Powers confirmed Route decided
      Deed Reviewed01
      Step 2

Pass the Resolution and Take Consents

The trustees or board pass a resolution recording the appointment, retirement or removal. We prepare the incoming trustee's consent letter and KYC, and the outgoing trustee's resignation or discharge letter, so the change is properly evidenced.

      Resolution passed Consents taken
      Documented02
      Step 3

Execute and Register the Supplementary Deed

For trusts, we draft the deed of appointment or supplementary trust deed and, where the original deed was registered, coordinate its registration with the Sub-Registrar. On appointment, the trust property vests in the new trustee under Section 75 of the Indian Trusts Act, 1882.

      Deed executed Registered
      Deed Live03
      Step 4

File the Statutory Change Report or Form

We file the appropriate statutory intimation - a Section 22 change report to the Charity Commissioner within 90 days for public trusts, Form DIR-12 within 30 days for Section 8 companies, or a governing-body intimation to the Registrar of Societies for societies.

      Step 5

      Update FCRA (Form FC-6E)

For FCRA-registered organisations, we intimate the change in key members or office bearers through Form FC-6E on the FCRA portal, so the association's foreign-contribution registration reflects the current governance.

      Step 6

Refresh Income Tax and Bank Records

We update trustee, PAN, KYC and authorised-signatory details on the Income Tax portal for 12A/12AB and 80G, reflect the latest governance in Form 10AB at renewal, and update the bank mandate so the current trustees control the organisation's accounts.

Documents Needed to Appoint or Replace a Trustee

The exact list varies with the entity type and the state Public Trusts Act, but a trustee change is typically supported by the following documents. Patron coordinates fresh issuance where existing documents are inadequate.

      • Board or trustee resolution recording the appointment, retirement or removal
      • Consent letter of the incoming trustee
      • Deed of appointment or supplementary trust deed
      • KYC of the new trustee - PAN, Aadhaar, address proof and photographs
      • Resignation or discharge letter of the outgoing trustee
      • The existing registered trust deed (or society rules / Section 8 company articles)
      • For Section 8 companies - the incoming director's written consent in Form DIR-2 and DIN details
      • For societies - the governing-body list and a certified up-to-date copy of the rules where required
      • For FCRA-registered bodies - details of key members for the Form FC-6E intimation
      • PAN of the organisation and current authorised-signatory / bank-mandate details
      • Where a court appointment is needed - the beneficiary's petition under Section 74 of the Indian Trusts Act, 1882

Verify entity and portal status at the relevant authorities - the Income Tax India e-Filing Portal for 12A/12AB and 80G, the FCRA online portal for Form FC-6E, the Ministry of Corporate Affairs (MCA21) for Section 8 company filings, and the office of the state Charity Commissioner for public-trust change reports.

Common Mistakes Patron Helps You Avoid

      ChallengeImpactHow Patron Solves It
Missing the 90-Day Change Report Window Under Section 22 of the Maharashtra Public Trusts Act, 1950, the change report must be lodged within 90 days. Delay can mean the register entry does not reflect the current trustees, creating problems with banks and authorities. Patron tracks the 90-day deadline from the date the change occurs and, where a genuine delay arises, uses the Section 22(1) proviso to seek an extension on sufficient cause with costs to the Public Trust Administration Fund.
Amending the Deed Without the Power to Do So Trustees do not inherently have power to amend the trust deed. Executing a supplementary deed where the original deed does not grant that power can render the change unenforceable. Patron first checks whether the deed confers amendment power. Where it does not, we use the correct route - a deed of appointment under the deed's succession clause, or a court application under Section 74 where appointment under Section 73 is impracticable.
Forgetting the FCRA Form FC-6E Update FCRA-registered organisations that change key members without intimating through Form FC-6E risk their foreign-contribution records becoming inaccurate. Patron files the Form FC-6E intimation on the FCRA portal as part of the change so key-member details are updated promptly when they occur.
Stale 12A/80G and Bank Records Trustee, PAN and signatory details that are not refreshed on the Income Tax portal can cause mismatches at 12A/12AB and 80G renewal in Form 10AB, and outdated bank mandates can freeze the trust's operations. Patron refreshes governance details on the Income Tax portal, reflects the latest trustees at renewal in Form 10A/10AB, and updates the bank mandate so the current trustees control the accounts.
Missing the Section 8 Company DIR-12 Deadline A Section 8 company that does not file Form DIR-12 within 30 days of a director change under Sections 168 and 170 of the Companies Act, 2013 risks non-compliance and penalties. Patron files Form DIR-12 within the 30-day window with the incoming director's consent in Form DIR-2, keeping the Registrar of Companies records current.
Overlooking In-Year Society Intimation Many state amendments require that any change in a society's governing body during the year be intimated to the Registrar, not just captured in the annual list, along with a certified copy of the rules. Patron checks the applicable state amendment and files the in-year intimation to the Registrar of Societies (commonly within about two months) with the certified up-to-date rules.

Indicative Timeline for a Trustee Change

      StageIndicative Timeline
Deed Review and Route Decision 2-4 working days - reading the trust deed, society rules or articles and confirming who has the power to make the change
Resolutions, Consents and Deed Drafting 3-7 working days - resolution, incoming consent, outgoing resignation, and drafting of the deed of appointment or supplementary trust deed
Supplementary Deed Registration Depends on Sub-Registrar appointment availability - required where the original deed was registered
Charity Commissioner Change Report Must be filed within 90 days of the change; provisional order in about 15 working days, with a 30-day objection notice before the entry is finalised
Section 8 Company Form DIR-12 Within 30 days of the director appointment, resignation, removal or change of designation
Society Governing-Body Intimation Commonly within about two months of the change where the state amendment requires in-year intimation, plus the annual list under Section 4
FCRA Form FC-6E Filed promptly on the FCRA portal when the key-member change occurs
Income Tax and Bank Records Update Undertaken alongside the above; latest governance reflected at 12A/12AB and 80G renewal in Form 10AB

Note on timelines: Actual timelines depend on the entity type, the applicable state Public Trusts Act, Sub-Registrar and Charity Commissioner office workload, and whether any objections are raised during the change-report process. The 90-day change-report window and the 30-day Form DIR-12 window are statutory and should not be missed; where a genuine delay arises for a public trust, the Section 22(1) proviso allows an extension on sufficient cause subject to costs.

      Deed and Change Report Expertise

Every Entity Type Under One Roof

      FCRA and Tax Continuity

We file Form FC-6E on the FCRA portal and keep 12A/12AB, 80G, PAN and signatory details current on the Income Tax portal, so a trustee change never quietly disrupts foreign-contribution eligibility or tax exemption.

A trustee change often sits alongside broader registration and compliance work. These live Patron pages help across the NGO lifecycle:

Verify statutory status directly - 12A/12AB and 80G at the Income Tax India e-Filing Portal, FCRA at the FCRA online portal, and Section 8 company filings at the Ministry of Corporate Affairs (MCA21).

What documents are needed to appoint or replace a trustee?

Typically a board or trustee resolution recording the appointment, retirement or removal; the consent letter of the incoming trustee; a deed of appointment or supplementary trust deed; KYC (PAN, Aadhaar, address proof and photographs) of the new trustee; the resignation or discharge letter of the outgoing trustee; and the existing registered trust deed. Requirements vary with the entity type and the state Public Trusts Act.

How long does the Charity Commissioner change report process take?

The change report must be lodged within 90 days of the change. For changes to trustee names, addresses or the mode of succession, the Deputy or Assistant Charity Commissioner may pass a provisional order within about 15 working days and issue a public notice inviting objections within 30 days before the entry is finalised, so timelines depend on objections and office workload.

Can a trustee be removed against their will?

A trustee can be discharged or removed only as permitted by the trust deed or by law. Where the deed provides no workable route, or a trustee becomes unfit, insolvent, absent from India for a continuous six months, or incapable, an application can be made to the Charity Commissioner or a civil court; Section 74 of the Indian Trusts Act allows the court to appoint a new trustee.

When must a Section 8 company report a change of directors?

A Section 8 company must file Form DIR-12 with the Registrar of Companies within 30 days of the appointment, resignation, removal or change of designation of a director, attaching the director's written consent in Form DIR-2 for appointments, under Sections 168 and 170 of the Companies Act, 2013.

How does a society report a change in its governing body?

Under Section 4 of the Societies Registration Act, 1860, the society files an annual list of its governing body with the Registrar. Many state amendments additionally require that any change in the governing body during the year be intimated to the Registrar of Societies (commonly within about two months of the change), along with a certified up-to-date copy of the rules.

Does changing trustees affect our 12A/80G or FCRA status?

The registrations continue, but governance records must be kept current. FCRA-registered organisations must update key-member details through Form FC-6E on the FCRA portal, and the organisation should ensure trustee or governing-body details, PAN and authorised signatories are accurate when interacting with the Income Tax portal for 12A/12AB and 80G, and when filing Form 10A or 10AB at renewal.

Should the supplementary trust deed be registered?

If the original trust deed was registered, it is advisable to execute and register the supplementary or amendment deed with the Sub-Registrar so the change of trustee is legally documented and enforceable, and so it can be produced to the Charity Commissioner, banks, the Income Tax Department and other authorities as evidence of the current trustees.

Don't Let a Trustee Change Lapse Into Non-Compliance

Why timing matters: Statutory windows are short and strict - 90 days for the Charity Commissioner change report under Section 22, and 30 days for a Section 8 company's Form DIR-12. Missing them can leave your public register or Registrar records showing the wrong trustees, which banks, donors and authorities rely on.

The knock-on effect: An unrecorded trustee change can surface at exactly the wrong moment - during 12A/12AB or 80G renewal in Form 10AB, during an FCRA review, or when a bank asks who is authorised to operate the account. Keeping deeds, registers and portals aligned avoids that risk.

Appointing, retiring or replacing a trustee touches several statutory registers at once - the trust deed, the Charity Commissioner's register, the Registrar of Societies or Companies, the FCRA portal and the Income Tax portal. The right route depends on whether you are a charitable trust, a society or a Section 8 company, and on the state law that applies.

Patron's CA and CS team drafts the deed of appointment or supplementary trust deed, files the Section 22 change report, Form DIR-12 or the society intimation on time, updates Form FC-6E on the FCRA portal, and keeps your 12A/12AB, 80G, PAN and bank-mandate records current - so trustee succession never disrupts your exemption or foreign-contribution eligibility.

Professional fees start from INR 9,999 (Exl. GST & Govt. Charges), with the final quote given on assessment. The firm serves NGO clients across Pune, Mumbai, Delhi and Gurugram with pan-India remote engagement.
