An unqualified opinion - technically called Unmodified Opinion under the revised SA 700 - is the clean audit report without any such carve-out. The "except for" wording is the distinguishing feature of qualified opinions; SA 705 specifically prohibits softer phrases like "subject to" or "with the foregoing explanation" which the standard considers not clear or forceful enough.

The boundary between qualified and unqualified opinions is the materiality threshold. When Are Qualified Opinions Issued - 4 Trigger Categories

Qualified opinions are issued in two distinct scenarios under SA 705 - (a) the auditor HAS sufficient appropriate audit evidence and concludes the financial statements ARE materially misstated but the misstatement is NOT pervasive (the "except for" qualification on misstatement); or (b) the auditor was UNABLE to obtain sufficient appropriate audit evidence on a matter that is material but NOT pervasive (the "except for" qualification on inability to obtain evidence). Examples - opening balances unverifiable for a first-year audit under SA 510 because predecessor declined to share working files; specific receivable confirmation not obtainable with alternative procedures inadequate; physical inventory verification not possible at year-end. Trigger Category 3 - Scope Limitation (Client or Circumstances): A specific limitation on auditor's work preventing SAAE - management refuses physical inventory observation; management denies access to specific accounting records; management imposes time restrictions; or circumstances such as fire or theft.
