Who can inspect the BEN-3 register?

The inspection is during business hours, for a period of not less than 2 hours on every working day as the Board may decide, and the company may charge a fee for each inspection that does not exceed 50 rupees. The company fixes the exact time and fee within these limits.

When is the BEN-3 register updated?

The BEN-3 register is updated whenever there is a change in significant beneficial ownership, such as an individual becoming an SBO, a change in the extent of the interest, or a cessation. Each BEN-1 declaration received is entered, and the entry is linked to the related BEN-2 filing. Keeping the register current, rather than entering it only once, is what keeps it compliant.

How is BEN-3 different from BEN-1 and BEN-2?

BEN-1 is the declaration the significant beneficial owner gives to the company, BEN-2 is the return the company files with the Registrar on receiving that declaration, and BEN-3 is the register the company maintains recording all such declarations. BEN-1 and BEN-2 are forms with filing or submission steps, while BEN-3 is an ongoing register kept and updated by the company.

Do LLPs have to maintain a BEN-3 register?

Yes. Under the SBO rules applicable to LLPs, effective from 10 November 2023, an LLP must identify its significant beneficial owners, obtain declarations, report them to the Registrar, and maintain a register of significant beneficial owners in Form LLP BEN-3. The LLP register works in much the same way as a company’s BEN-3 register and must be kept current.

What happens if the BEN-3 register is not maintained?

Failing to maintain the BEN-3 register, or keeping it incomplete or out of date, is a non-compliance under Section 90 and the SBO Rules and can attract penalties on the company and its officers in default.
