DIN Restoration: Overview and Quick Summary

📌 TL;DR - DIN Restoration Services at a Glance

DIN restoration is the process of reactivating a director’s deactivated Director Identification Number after disqualification by the MCA. Where the company was struck off, restoration runs through an NCLT appeal under Section 252, followed by filing INC-28 with the ROC, removal of the disqualification flag, and DIR-3 KYC to bring the DIN back to active status.

AuthorityNCLT, Registrar of Companies (ROC), MCA

DIN restoration services from Patron Accounting cover the NCLT petition, post-order ROC filings and the DIR-3 KYC reactivation that finally restores your DIN. Because it usually goes hand in hand with reviving the struck-off company, we run both as one engagement, and where the company itself needs reviving we use our struck-off company restoration service. Our team has supported 10,000+ businesses since 2009.

The final reactivation step is the annual Director KYC, and if you have received a related ROC notice on the strike-off or default we handle that alongside the restoration.

What Is DIN Restoration?

DIN restoration is the process of reactivating a Director Identification Number that the MCA deactivated after the director was disqualified. When the disqualification followed the company being struck off, the DIN cannot be reactivated until the company is revived through the NCLT.

The restoration is therefore a sequence: an NCLT appeal under Section 252 to revive the company, the filing of INC-28 with the Registrar, removal of the disqualification flag, and finally DIR-3 KYC to make the DIN active and usable again for filings.

Key Terms for DIN Restoration:

  • DIN Reactivation: Bringing a deactivated DIN back to active or approved status so the director can file again.
  • Section 252 Appeal: The NCLT appeal to restore a struck-off company, which underpins DIN restoration.
  • INC-28: The form filed with the ROC to record the NCLT order, on the MCA V3 portal.
  • CRF: The Change Request Form ticket the ROC raises on MCA21 to reactivate the DIN after the order.
  • DIR-3 KYC: The final KYC filing that moves the DIN status to approved and fully operational.

When Is DIN Restoration Needed?

DIN restoration is needed when a director’s DIN has been deactivated following disqualification, most often where the company was struck off for non-filing. The path depends on the company’s status.

  • Company struck off: The company must be revived through an NCLT appeal under Section 252 before the DIN can be restored.
  • Company still active: Pending returns are cleared and the DIN is reactivated through DIR-3 KYC once the default is regularised.
  • Pre-condition: The director must not remain on the board of any other company that is still struck off under Section 248(1).
  • Limitation: An NCLT restoration appeal can be filed up to 20 years from strike-off, but a company that voluntarily struck off through STK-2 cannot be revived.

For the legal grounds and removal of the disqualification itself, see our DIN disqualification removal under Section 164 service.

Related Director and Compliance Services

DIN restoration connects with disqualification removal and director compliance. Patron handles the linked work.

Where the company itself needs reviving, we use our struck-off company restoration service, run together with the DIN restoration as one engagement.

Legal and Compliance Framework

Revival route: A company struck off under Section 248 is revived through an appeal to the NCLT under Section 252 of the Companies Act, 2013, after which the directors’ disqualification flag is removed.

Post-order filings: The certified NCLT order is filed in INC-28 with the ROC within 30 days, on the MCA V3 portal, and the status is restored to Active.

DIN reactivation: Per MCA General Circular 05/2018, the ROC raises a Change Request Form ticket on MCA21 with the NCLT order, and the DIN is reactivated, provided the director is not on the board of any other struck-off company; DIR-3 KYC completes the process.

Alternative: A writ petition under Article 226 before the High Court may be used to challenge the disqualification on legal grounds.

Refer to the MCA portal for forms and to Section 252 on IndiaCode for the bare provision.

How is a disqualified DIN restored?

A disqualified DIN is restored by reviving the struck-off company through an NCLT appeal under Section 252, filing INC-28 with the ROC, and then completing DIR-3 KYC. Once the NCLT order is recorded and the company status returns to Active, the MCA removes the disqualification flag and the DIN can be reactivated through the KYC filing.

Will my DIN reactivate automatically after five years?

No. A DIN deactivated on disqualification does not reactivate on its own, even after the five-year period, if the company was struck off. The company must first be revived through an NCLT appeal under Section 252. Only after the order, INC-28 filing and DIR-3 KYC does the DIN return to active status.

What is the role of INC-28 in DIN restoration?

INC-28 is the form filed with the Registrar to record the NCLT restoration order, on the MCA V3 portal, within 30 days of the order. Once INC-28 is processed, the company’s status is restored to Active and the disqualification flag on the directors’ DINs is removed, paving the way for DIR-3 KYC and reactivation.

How long does DIN restoration take?

The NCLT revival petition usually takes about two to six months, depending on the bench and documentation. After the order, INC-28 processing takes about fifteen to thirty working days, followed by the CRF and DIR-3 KYC steps. The restoration is deemed effective from the date of the NCLT order, not the later filing dates.

Can a DIN be restored if another company is still struck off?

No. Under MCA guidance, the DIN cannot be reactivated while the director remains on the board of any other company still struck off under Section 248(1). That linkage must be resolved first, after which the Registrar raises the Change Request Form ticket on MCA21 and the DIN is reactivated.

Is DIN restoration the same as removing the disqualification?

They are connected but distinct. Removal addresses the legal disqualification under Section 164, while restoration is the practical process of reviving the company and reactivating the DIN through NCLT, INC-28 and DIR-3 KYC. In most struck-off cases both are achieved together, which is why they are usually handled as one engagement.

Does DIN restoration require reviving the company?

Where the disqualification followed the company being struck off, yes. The DIN cannot be reactivated until the company is revived through the NCLT under Section 252. If the company is still active and only the annual filings were missed, the DIN can be reactivated by clearing the default and filing DIR-3 KYC, without an NCLT petition.

What is the final step to make the DIN active?

The final step is filing DIR-3 KYC for all pending years. After the company is restored and the disqualification flag is removed through the Change Request Form, the director files DIR-3 KYC or DIR-3 KYC-WEB, and the MCA updates the DIN status to approved and fully operational, allowing the director to file forms again.

Disqualified DIN wapas kaise activate kare?

Struck-off company ko NCLT se revive karke, INC-28 file karke aur DIR-3 KYC karke disqualified DIN reactivate hoti hai.

DIN restoration me kitna time lagta hai?

NCLT revival me lagbhag 2 se 6 mahine lagte hain, uske baad INC-28 aur DIR-3 KYC ke steps hote hain.

Quick Answers

Main route? NCLT appeal under Section 252 for struck-off companies.

Final step? DIR-3 KYC to reactivate the DIN.

Does it auto-restore? No, an NCLT order is needed for struck-off companies.

Pairs with? Reviving the struck-off company, as one engagement.

Why Act Now

Time and linkages matter. A deactivated DIN blocks every filing and board role, and NCLT timelines run into months. The longer a struck-off company stays dormant, the harder the evidence of operations becomes. Starting early keeps the limitation window open and gets your DIN back faster.

Restore Your DIN with Patron Accounting

DIN restoration after MCA disqualification is a sequence, not a single form: an NCLT appeal under Section 252 to revive the company, INC-28 with the Registrar, removal of the disqualification flag through the Change Request Form, and DIR-3 KYC to reactivate the DIN.

Because it depends on reviving the struck-off company, it is best handled as one engagement. Patron Accounting, with qualified CAs and CSs and offices in Pune, Mumbai, Delhi and Gurugram, manages the full restoration so your directorship and DIN are back as efficiently as the law permits.
